SANDS OF KAHANA
IMPORTANT MESSAGE
2025 PROXY FORM

Aloha Fellow Owners,

I hope this letter finds you well and enjoying the beauty of our Sands of Kahana Vacation Club. As we approach this year's annual owners' meeting on November 20, 2025, I want to personally reach out to you to provide updates on our resort and express the importance of your participation, even if you cannot attend the meeting in person. Additionally, I would like to request your vote for three incumbent candidates: Louie DeCastro, Johnnie Santiago, and myself, Glenn Stockton, who have been nominated to fill the three director positions up for election.

If you haven’t been able to visit recently, you’re in for a treat the next time you return. 2025 has been a busy and exciting year filled with upgrades and new ways to enjoy your vacation home.

Looking ahead, even more improvements are planned for 2026, and we’re excited to share them with you soon!

I want to express my heartfelt appreciation for your unwavering dedication and commitment to our shared goals. It is through your collective efforts and passion that we have achieved remarkable milestones and overcome challenges together. As your President, I assure you of my commitment to foster an environment that encourages innovation and continuous learning, allowing us to adapt to changing times, embrace new challenges, and explore emerging trends. With resilience and determination, we will navigate these waters and seize opportunities for the benefit of our community.

I understand that ongoing inflation pressures and recurring news stories about tariffs and a looming recession continue to be a concern for many. Such pressures/stories continue to impact overall travel and visitation to Maui, as well as costs across various sectors. While the Board and Management Company are using all available tools to mitigate maintenance fee increases, we cannot completely insulate the resort from the effects of these broader economic trends. However, I am pleased to share that our ongoing, proactive steps to secure favorable rates and lock in materials have yielded positive results. While, in recent years, we have noticed increases in such areas as insurance premiums, property taxes, and utilities, most resort expenses currently remain within or slightly below budgeted estimates, which is great news.

Beach erosion continues to be another important issue that we are actively addressing. As your representative on the Kahana Bay Steering Committee (KBSC), I am deeply involved in finding sustainable solutions to protect our beautiful Kahana Bay. The KBSC, consisting of nine local resorts, recently retained a lobbyist that will coordinate our efforts at both the state and county levels. Our new lobbyist will join forces with the West Maui Taxpayers Association (WMTPA) to promote our erosion mitigation solution for the business-friendly initiative that it is for Maui County. Together with our lobbyists, KBSC is engaging with Mayor Bissen and the county council to advocate for a county-owned and directed beach erosion solution, with broad-based financial support. County council committee meetings on our proposals are in the works. I am confident that our long-term efforts will yield positive results, ensuring the future well-being of our owners.

I would now like to share why I believe Louie DeCastro, Johnnie Santiago, and I are the ideal candidates for re-election to the board. The Nominating Committee carefully considered each candidate's qualifications and experience. Louie brings valuable skills in property management, title and escrow services, and managerial roles in various industries, including healthcare. He is also a resident of Hawaii, fulfilling an important residency requirement for our board. Johnnie Santiago, whom I have known for over two decades, has consistently demonstrated her love for the owners and a genuine commitment to their best interests. Her caring nature and dedication to finding fair resolutions make her an invaluable asset. As for myself, I have been honored to serve as your Board President and have extensive experience in timeshare and association law. While I acknowledge my imperfections, I assure you that I will always seek feedback and communicate the necessary information to you.

Your vote is crucial, and I urge you not to forget to send in your proxy today. Your participation in this year's owners' meeting will contribute to shaping the future of our resort and ensuring its continued success.

Once again, I express my heartfelt gratitude for your support and dedication. Let us embrace the opportunities and challenges that lie ahead, working together to create a remarkable experience for all Sands of Kahana Vacation Club owners.

Mahalo,

Glenn Stockton – President, Sands of Kahana Vacation Club
